All hospital and healthcare organizations routinely enter into contracts with physicians, referral sources, and other vendors that put the organization at risk. Although necessary, these contracts create employment and other relationships between the parties, as well as implicate the fraud and abuse laws. At times, these relationships break down, changes in the law or the government’s interpretation of the law raise compliance concerns, or a change in circumstances requires termination of the contract. This webinar will provide practical advice to the healthcare lawyer responsible for drafting or reviewing contracts in order to plan for, if not prevent, the inevitable problems that can result. Particular attention will be paid to the employment relationships between healthcare organizations and physicians, and ensuring compliance with the fraud and abuse laws that govern the operations of healthcare organizations. Specifically, the speakers will cover:
- Key terms that should be included in contracts to limit exposure should the relationship sour;
- Provisions that put the healthcare organization at higher risk of litigation upon termination of the contract;
- Preparing for a changing regulatory environment; and
- Conflicts between the enforceability of the contract under state law and its viability under the Stark Law.
During the webinar, the speakers will review real-life contractual provisions and provide practical tips for minimizing risk while achieving the goals of the parties.
